We refer to the announcements dated 1 October 2024, 4 November 2024, 8 November 2024, 19 November 2024, 4 December 2024 and 23 December 2024 in relation to the Proposals ("Announcements"). Unless otherwise defined, the definitions set out in the Announcements shall apply herein.

On behalf of the Board, TA Securities wishes to announce that the authority to TMSS to increase by up to 60% of its enlarged registered capital for subscription by third party investor(s) to be identified in respect of the Proposed Increase in Registered Capital of TMSS pursuant to the approval of the Company's shareholders obtained at the EGM on 19 November 2024, has lapsed, i.e. 12 months from the full payment of the Purchase Consideration for the Proposed Acquisition.

As such, TMSS will remain as a wholly-owned subsidiary of ACSB, which in turn is a wholly-owned subsidiary of the Company.
